The definition of 'Board observer'

A board observer is an individual who attends company board meetings but is not an official member of the Board of Directors.

During a funding round some investors will request the right to appoint a board observer, this may or may not be set out in the investment terms.

Investors given the option to appoint a board observer can opt to appoint someone other than themselves to the role.
